Attorney - Tax Credit Investments & Syndication (Renewable Energy)

Location: Lincoln, Nebraska, United States. Hybrid work model requiring a minimum of 24 hours per week in the Lincoln office; relocation assistance to Lincoln is available.

Annual compensation: $120,000–$160,000, depending on experience.

What you will do

• Research technical tax and transactional issues, draft legal memoranda, and advise on federal tax credit legislation, IRS notices, and Treasury guidance.
• Support due diligence for tax equity investments and syndications by reviewing data rooms, project contracts, financing agreements, insurance, and diligence reports.
• Draft, review, negotiate, and coordinate execution of LLC agreements, investment documents, NDAs, engagement letters, and tax insurance policies.
• Monitor legal, insurance, lender, tax, and business compliance throughout each investment’s tax credit recapture period.
• Support entity formation, legal reorganizations, and related structures in partnership with business and accounting leaders.

Requirements

• Juris Doctor degree from an accredited law school.
• Admission to practice law and good standing in at least one U.S. jurisdiction.
• At least 2 years of corporate or transactional legal practice in a law firm or in-house environment.
• Strong legal analysis, business judgment, organization, communication, and transaction-management skills.
• Already authorized to work in the United States without current or future visa sponsorship.

Nice to have

• Experience with tax credit investments, renewable energy project finance, or real estate and fund transactions.
• Familiarity with partnership structures and taxation.
• Bachelor’s degree in accounting, business administration, economics, finance, or environmental sciences.
