Senior Counsel, Finance & SEC

Location: Berlin, Connecticut, United States; hybrid schedule requiring at least three days in the office, including Tuesdays and Wednesdays, with availability to work up to five days in the office if needed. Travel between Massachusetts, Connecticut, and New Hampshire may be required.

Annual salary: $176,930–$196,590, plus potential incentive.

What you will do

• Draft and advise on SEC periodic reports, registration statements, proxy statements, and Section 16 filings.
• Ensure compliance with SEC and NYSE rules and enhance disclosure controls and procedures.
• Advise senior management and executive leadership on disclosure, governance, earnings communications, and other announcements.
• Support Treasury and capital markets transactions, including debt and equity offerings, private placements, credit facilities, loan agreements, and pension management.
• Advise directors and executive officers on insider trading policies, Rule 10b5-1 plans, and Rule 144 filings.
• Handle corporate, commercial, transactional, board, investor relations, finance, compliance, and legal entity management matters.

Requirements

• At least five years of corporate and securities law experience in a law firm or corporate legal department.
• Substantial hands-on experience advising public companies on SEC reporting and disclosure obligations.
• Bachelor’s degree and Juris Doctor degree.
• Admission in good standing to the Massachusetts, Connecticut, and/or New Hampshire Bar and Federal Bars preferred; candidates admitted elsewhere must obtain admission to the appropriate state bar within one year.
• Strong organizational, analytical, communication, collaboration, and business-oriented problem-solving skills.
• Immigration-related visa sponsorship is not available; applicants requiring sponsorship to start employment will not be considered.

Nice to have

• Commercial transactional contract negotiation experience.
• Executive compensation, incentive plans, equity administration, CD&A, and say-on-pay disclosure experience.
• ESG and sustainability reporting, including climate-related disclosures.
