Senior Counsel - Mergers & Acquisitions

Location: Hybrid position requiring three days in office per week in Philadelphia, New York, or Baltimore, United States. Relocation assistance is not provided. Applicants must already have legal authorization to work in the U.S.; immigration-related sponsorship is not available.

Salary: $150,000–$200,000 annually, plus potential eligibility for an annual bonus.

What you will do

• Advise on the legal aspects of mergers, acquisitions, divestitures, joint ventures, minority investments, and other strategic transactions.
• Draft, review, and negotiate non-disclosure agreements, letters of intent, purchase agreements, and ancillary transaction documents.
• Coordinate due diligence with subject matter experts and prepare executive materials on deal structures and risks.
• Support regulatory approval processes and post-acquisition integration matters.
• Direct external law firms, managing transaction deadlines and budgets.
• Provide independent legal advice and participate in or lead departmental and cross-functional working groups.

Requirements

• JD from an ABA-accredited law school.
• At least five years of relevant legal experience.
• Licensed or eligible to practice in the applicable state.
• Strong written and oral communication, sound judgment, agility, and adaptability in a fast-paced corporate environment.
• Proficiency with Microsoft Office.
• Ability to work in a hybrid office environment three days per week and already hold U.S. work authorization without immigration sponsorship.

Nice to have

• Strong M&A experience, including stock purchase agreements, asset purchase agreements, letters of intent, due diligence, and transaction execution.
• Experience in a regulated industry and with material acquisitions and divestitures.
• Experience with post-acquisition integration and transition activities.
