TL;DR
Vice President & Deputy General Counsel, Compliance & Ethics (Chief Ethics & Compliance Officer) (Energy): Leading an enterprise-wide ethics and compliance framework for a highly regulated energy company with an accent on regulatory oversight, internal investigations, risk assessments, and Board-level reporting. Focus on strengthening compliance standards and controls, overseeing NERC and TSA Gas programs, and building a company-wide culture of integrity.

Location: Hybrid position based in the Chicago, Philadelphia, Baltimore, or Washington, DC office, with in-office work required at least three days per week on Tuesday, Wednesday, and Thursday. The position is not eligible for relocation assistance.

Annual salary: $240,000–$330,000, plus an eligible annual bonus.

What you will do

  • Lead enterprise-wide ethics and compliance governance across operating companies and corporate functions.
  • Establish, implement, monitor, and periodically reassess compliance standards, policies, controls, and investigation protocols.
  • Oversee confidential ethics reporting, investigations, matter tracking, analysis, and disposition in partnership with Legal, HR, Internal Audit, Security, and Safety.
  • Direct the corporate NERC and TSA Gas compliance programs and oversee related legal advice and representation.
  • Lead annual compliance risk assessments and oversee privacy compliance and corporate records management governance.
  • Report on compliance risks, incidents, program performance, and improvement opportunities to executive leadership, the Board, and Board committees.

Requirements

  • LLB or JD from an accredited law school.
  • At least 15 years of professional or other experience relevant to managing ethics and compliance functions.
  • Significant experience with internal investigations.
  • Exceptional written communication and public speaking skills, with the ability to communicate across all employee levels.
  • Demonstrated ability to lead, motivate, coach, and develop high-performing teams.
  • Ability to make independent decisions and apply strategic and tactical judgment to enterprise compliance risks.
