Assistant General Counsel, Finance & SEC

Location: Berlin, Connecticut, with a hybrid schedule requiring at least three days in the office, including Tuesdays and Wednesdays; employees must be able to work up to five days in the office when needed. Travel between Massachusetts, Connecticut, and New Hampshire may be required.

Annual salary: $230,640–$256,270, plus potential incentive compensation.

What you will do

• Lead or support SEC filings, including Forms 10-K, 10-Q, 8-K, S-3, S-8, proxy statements, and Section 16 filings.
• Advise senior management and executive leadership on securities disclosure, corporate governance, insider trading policies, and Rule 10b5-1 plans.
• Maintain disclosure controls and coordinate cross-functional reviews of earnings releases, presentations, communications, and other announcements.
• Advise Treasury on debt and equity offerings, private placements, credit facilities, loan agreements, pension management, and related matters.
• Support corporate and commercial transactions, including contract negotiations, mergers and acquisitions, asset and stock purchases, and joint ventures.
• Provide counsel on board matters, annual stockholder meetings, investor relations, internal audit, compliance, policies, training, and day-to-day legal operations.

Requirements

• At least 10 years of corporate and securities law experience in a law firm or corporate legal department.
• Substantial hands-on experience advising public companies on SEC reporting and disclosure obligations.
• Bachelor’s degree and Juris Doctor degree.
• Admission in good standing to the Massachusetts, Connecticut, and/or New Hampshire Bar and Federal Bars preferred; attorneys admitted in another state must obtain admission to the appropriate state Bar within one year.
• Strong organizational, analytical, communication, leadership, and business-oriented problem-solving skills.
• Immigration-related visa sponsorship is not available.

Nice to have

• Commercial transactional contract negotiation experience.
• Experience with executive compensation, incentive plans, equity administration, CD&A, and say-on-pay disclosures.
• Experience with ESG, sustainability, and climate-related reporting.
