Director Corporate Counsel Transactions (Biotech)

Location: Sleepy Hollow, New York, United States; hybrid with 4 days per week on site

What you will do

• Advise senior management and business development on collaborations, partnerships, licensing agreements, and other strategic transactions.
• Draft, review, and negotiate sophisticated licensing, collaboration, services, and other commercial agreements.
• Support critical collaborations and provide legal counsel as alliance-related issues arise.
• Work with the intellectual property department to protect and manage IP assets.
• Advise on privacy, antitrust, securities, corporate, regulatory, and contractual matters.
• Manage outside counsel relationships, including legal strategy, workstreams, and budgets.

Requirements

• Juris Doctor degree with strong academic credentials and a bachelor's degree.
• At least 8 years of experience negotiating and drafting complex agreements in biotechnology, pharmaceuticals, or life sciences.
• Deep expertise in contract drafting, negotiation, and risk analysis.
• Strong experience in business development, strategic alliances, partnerships, and collaborations.
• New York bar admission or eligibility for licensure as registered in-house counsel.
• Ability to manage high volumes of client requests and competing priorities; a representative deal sheet is required with the application.
