Vice President, Corporate Transactions (Biotech)

Location: Somerville, Massachusetts, United States

Salary: $269,000–$345,000 per year, plus annual incentive bonus and equity grants.

What you will do

• Act as a strategic legal partner to senior management and cross-functional teams, including Business Development, Finance, Human Resources, and R&D.
• Support strategic transactions, including capital markets and business development activities, and lead legal due diligence.
• Draft, review, and negotiate licensing agreements, M&A documents, complex contracts, and other transaction-related documentation.
• Oversee corporate law functions covering reporting, compliance, governance, contracting, transactions, and real estate.
• Advise on equity incentive programs, investor relations communications, SEC and Nasdaq compliance, and Board of Directors matters.
• Manage outside counsel, legal budget responsibilities, policies, procedures, and employee training on contracting and compliance requirements.

Requirements

• J.D. from a fully accredited law school.
• 15+ years of industry-related experience, including 5+ years of in-house experience at a biopharmaceutical company; rare diseases experience is strongly preferred.
• Good standing and licensed to practice law in one or more U.S. states.
• Experience drafting and negotiating licensing, M&A, and complex commercial agreements.
• Strong analytical, written, verbal communication, project management, and contract negotiation skills.
• Ability to provide pragmatic legal guidance, exercise sound judgment, and collaborate effectively in a fast-paced, accountable environment.

Nice to have

• Experience leading, recruiting, and developing high-performing legal teams.
• Experience with SEC filings, SEC requirements, investor relations communications, and Nasdaq compliance.
• Experience with corporate governance, Board and committee matters, capital markets transactions, and equity offerings.
• Knowledge of Internal Audit and SOX compliance matters.
• Experience managing outside counsel and legal budgets.
