CIB Securitization Senior Legal Counsel, Executive Director

Location: United States of America; NYC-based preferred.

Annual base pay: $240,000–$310,000 USD.

What you will do

• Provide lead legal coverage to the Corporate and Investment Banking Securitized Products Group across banking, lending, capital markets, and securitization transactions.
• Advise on transactions involving RMBS, CMBS, ABS, CLOs, and related asset classes.
• Lead negotiation and drafting of loan, repo, offering, underwriting, placement, term sheet, commitment, engagement, confidentiality, and other transaction documents.
• Work directly with senior business stakeholders supporting underwriting, structuring, arranging, book-running, and placement activities.
• Monitor and advise on U.S. securities laws, banking law, lending, securities offerings, and advisory services.
• Handle complex coverage matters independently and support adjacent business lines as a senior legal resource.

Requirements

• J.D. degree and admission to, and good standing with, the bar in the state where the candidate will practice.
• 8–12 years of relevant securitization and/or structured products experience at a law firm or financial services firm.
• Demonstrated experience personally leading negotiation and drafting for complex transactions.
• Excellent oral and written communication, judgment, problem-solving, prioritization, and multitasking skills.
• Ability to manage complex and novel matters autonomously and establish legal positions on precedent-setting issues.
• NYC-based candidates are preferred.
