SVP, Corporate Associate General Counsel (Mortgage Capital Markets)

Location: Office-based in Westlake Village, California, or Carrollton, Texas

Salary: $175,000–$305,000 annually

What you will do

• Review, negotiate, and draft mortgage loan purchase and sale, MSR acquisition and sale, repurchase, servicing, and confidentiality agreements.
• Provide legal counsel on transaction structuring, asset transfers, risk allocation, consumer mortgage compliance, asset eligibility, QM and ATR requirements, CFPB regulations, and agency requirements.
• Structure and negotiate ISDAs, MSFTAs, securities repurchase agreements, and derivatives trading policies.
• Draft and negotiate mortgage securitization, offering, trust, custodial, escrow, indemnification, and legal opinion documents.
• Oversee securitization due diligence, including third-party review engagements, DDQs, originator and servicer disclosures, and reporting requirements.
• Manage compliance with credit risk retention requirements, SEC Rule ABS-15G, Regulation AB, Dodd-Frank, ISDA protocols, and federal securities laws.

Requirements

• Post-graduate degree and at least 5 years of relevant legal experience.
• Significant experience with secondary-market and capital-markets transactions, including bulk whole loan sales and third-party mortgage securitizations.
• Licensed to practice law in California or Texas.
• Highly proficient in Microsoft Word.
• Strong critical thinking, judgment, attention to detail, business acumen, and ability to manage multiple projects independently.
• Ability to work effectively with senior and executive management.
