Senior Counsel - Structured Investments

Salary: $170,000–$284,000 expected starting annual range; national range $170,000–$318,000

What you will do

• Advise on the structuring and execution of ABS, CLO, RMBS, CMBS, securitization, and private asset-backed finance transactions.
• Draft, review, and negotiate indentures, pooling and servicing agreements, offering memoranda, purchase agreements, trust agreements, partnership agreements, and related documents.
• Provide legal support for structured note issuances, warehouse facilities, and financing arrangements.
• Analyze offering materials, term sheets, transaction documents, deal communications, and applicable legal and regulatory requirements.
• Collaborate with investment professionals, compliance, risk, internal stakeholders, external counsel, and counterparties to execute transactions efficiently.
• Lead governance processes, manage external counsel relationships, and advise on legal and regulatory obligations for structured products.

Requirements

• Juris Doctorate from an American Bar Association-accredited law school.
• At least 15 years of relevant legal experience, with subject-matter expertise in investments, capital markets, structured finance, or a related practice area.
• Full attorney licensure in good standing and compliance with continuing legal education requirements in the state or states of practice.
• Significant experience negotiating complex structures, multifaceted transactions, and joint ventures.
• Strong ability to interpret sophisticated agreements, statutes, and regulations and assess legal and business risks.
• Strong verbal and written communication, decision-making, project management, and negotiation skills.
