Legal Counsel (Commercial Technology)

Location: Remote US; candidates must be located in the Pacific or Mountain time zones. Regular collaboration is required across teams in North America and Australia.

Salary: $140,000–$160,000 per year.

What you will do

• Draft, review, and negotiate U.S. and international commercial technology agreements, including SaaS subscriptions, cloud services, software licenses, SOWs, professional services, partner, reseller, and OEM agreements.
• Advise business units and leadership on software contracting, licensing, commercial risk, and regulatory considerations.
• Advise on data privacy and security requirements for SaaS solutions, including U.S. privacy laws, customer security terms, and DPAs.
• Develop and continuously improve contract templates, playbooks, and negotiation guidelines.
• Partner with Sales, Customer Success, Finance, Product, Security, and Compliance teams, and manage external counsel relationships when needed.
• Monitor changes in U.S. and international privacy, technology, and commercial law and support internal training and process improvement.

Requirements

• J.D. from an accredited U.S. law school and a license to practice in at least one U.S. state.
• 4+ years of commercial contracting experience, ideally in SaaS or technology.
• Strong knowledge of software, cloud, data, and commercial contract law.
• Understanding of U.S. data privacy requirements, including CCPA/CPRA and state privacy laws; familiarity with GDPR is a plus.
• Excellent drafting, negotiation, communication, business judgment, and attention to detail.
• Ability to work independently and collaboratively in a fast-paced environment.
