Corporate Counsel

Location: Onsite in San Jose, California, United States

Salary: $209.5K–$303.2K USD annually for the Bay Area California location, plus incentive opportunities.

Corporate Legal supports governance, securities, finance, investor-relations, equity, talent, and strategic corporate matters.

What you will do

• Support Board, committee, and stockholder-meeting processes, including agendas, materials, minutes, resolutions, consents, governance documents, and corporate records.
• Lead or assist with SEC filings, proxy materials, registration statements, Section 16 filings, disclosure controls, reporting calendars, and insider-trading compliance.
• Provide legal support to Finance on financial reporting, treasury, and strategic initiatives.
• Partner with Finance, Accounting, Investor Relations, and Communications on earnings releases, investor presentations, press releases, website disclosures, and Regulation FD matters.
• Support equity and executive-compensation matters, including equity plans, award agreements, securities-law compliance, and Compensation Committee materials.
• Develop legal processes, workflows, compliance infrastructure, and governance practices while coordinating with internal stakeholders, service providers, and outside counsel.

Requirements

• J.D. from an accredited law school and active membership in good standing in California, with eligibility to practice in-house in California.
• 5+ years of relevant corporate legal experience at a leading law firm, with training in corporate, securities, capital-markets, executive-compensation, or corporate-governance matters.
• Strong knowledge of corporate governance, legal drafting, SEC reporting, public-company disclosure, equity compensation, and Board support.
• Ability to independently drive workstreams, exercise sound judgment, identify and escalate issues, and manage deadlines.
• Strong written, verbal, analytical, organizational, and project-management skills, with discretion in handling confidential information.
• Ability to work from the in-office location in San Jose and eligibility for any required U.S. export authorizations.

Nice to have

• Experience with Workiva, Diligent, equity-administration platforms, or comparable corporate-legal tools.
