Corporate Counsel

Location: Palo Alto, California, United States; hybrid workplace with regular office presence.

Salary: $135,000–$200,000 per year, excluding potential sign-on bonus, benefits, restricted stock units, and future long-term incentives.

What you will do

• Advise on complex equity, corporate, and securities matters.
• Manage public company filings and related internal processes.
• Support Board, Committee, corporate governance, subsidiary, and joint venture matters.
• Assist with M&A, strategic investments, and other corporate and securities transactions.
• Structure, implement, and administer global employee equity compensation plans and manage the equity portfolio.
• Collaborate with senior leadership and cross-functional teams to translate legal requirements into actionable strategies.

Requirements

• JD and active bar membership, or an equivalent international qualification.
• 4+ years of experience as a corporate or securities attorney at a top firm, in-house, or a combination of both.
• Knowledge of and experience with public company reporting requirements, corporate governance and board matters, and securities and strategic transactions.
• Excellent written and verbal communication skills, with the ability to distill complexity into clarity.
• Ability to solve non-traditional or undefined problems creatively and analytically.
• Ability to work independently and collaborate with cross-functional teams.
• Ability to prioritize and communicate deadlines and build constructive, high-trust relationships.
• Sound judgment, composure in high-pressure situations, discretion, and integrity.
