Location: Bellevue, Washington; Boston, Massachusetts; Chicago, Illinois; Denver, Colorado; Seattle, Washington; or Washington, D.C.

Salary: $186,900–$272,050 USD annually, depending on pay zone and location; annual performance bonus and equity may also be available.

What you will do

• Advise on and support M&A, venture, equity, capital-raising, and other corporate transactions.
• Support public company readiness, securities law compliance, SEC reporting, and disclosure controls and procedures.
• Prepare board and committee materials and advise on corporate governance matters.
• Develop and maintain governance and compliance policies, investor materials, offering materials, public announcements, and corporate communications.
• Advise on antitrust and competition law issues in M&A and provide global competition-law counseling.
• Lead the formation, maintenance, and governance of domestic and international subsidiaries while improving scalable legal-support processes.

Requirements

• 8+ years of experience at a nationally recognized law firm, a public company, or a combination of both.
• J.D. from a top-tier law school and membership in a state bar in good standing.
• Substantial experience advising public or high-growth private companies on corporate governance, securities law compliance, SEC reporting, IPO readiness, and corporate transactions.
• Strong interpersonal, organizational, project-management, and stakeholder relationship-building skills.
• Ability to work independently, manage multiple cross-functional projects, and interact confidently with senior management in a fast-paced, deadline-intensive environment.
