TL;DR
Associate General Counsel, Corporate & Transactions (Biotech): Leading complex strategic, business development, and licensing transactions while managing U.S. and EU contracting and subsidiary governance with an accent on life sciences collaborations and corporate legal matters. Focus on negotiating collaboration agreements, advising senior leaders and the Board, managing contract lifecycle processes, and supervising a team of three direct reports.

Location: Hybrid role based in Bridgewater, New Jersey, United States; applicants must be authorized to work in the United States.

Salary: $256,073–$336,097 USD base pay annually, plus performance-based bonus and/or equity for eligible roles.

What you will do

  • Draft, review, and negotiate complex strategic transactions, with a focus on business development and licensing agreements.
  • Advise on contractual obligations, disputes, and other matters related to the collaboration with Janssen, including the BCMA program and related license agreements.
  • Lead the U.S. and EU contracting function, including contract policies, templates, playbooks, and lifecycle management systems.
  • Supervise, mentor, and develop three direct reports.
  • Support corporate governance, securities, Board and committee matters, subsidiary management, and intercompany arrangements.
  • Maintain books and records for U.S. and EU subsidiaries and coordinate with tax, accounting, and other stakeholders.

Requirements

  • 10+ years of relevant legal experience negotiating complex strategic transactions in the life sciences industry.
  • Strong knowledge of life sciences collaborations, licensing arrangements, and strategic transactions.
  • Experience advising senior leadership, the Board, and R&D, Business Development, Clinical, Medical, Commercial, Operations, and Finance stakeholders.
  • Experience leading a contracting function or legal operations process and developing direct reports.
  • J.D. from an accredited U.S. law school or equivalent, with high academic achievement.
  • Admission to practice law in at least one U.S. state, with New Jersey Bar admission or eligibility for in-house qualification in New Jersey; U.S. work authorization and E-Verify eligibility are required.

Nice to have

  • Experience with a global publicly traded life sciences company.
  • Knowledge of the Federal Food, Drug and Cosmetic Act, False Claims Act, Anti-Kickback Statute, Foreign Corrupt Practices Act, and related laws.
  • Experience with Microsoft Office Suite and digital contract lifecycle management tools.
