Corporate Governance Attorney

Location: Washington, DC or Philadelphia, USA; hybrid work with at least 3 days per week in-office.

Base salary: $139,000–$243,000 per year, plus annual bonus or commission, equity, and benefits.

hirify.global operates a public financial exchange and related market infrastructure and provides corporate governance, legal, and compliance services.

What you will do

• Provide counsel on proxy statements, shareholder proposals, annual meetings, fiduciary duties, and other corporate governance matters.
• Run the legal entity management program and supervise two employees responsible for subsidiary governance.
• Oversee selected Boards and Committees, including agendas, scripts, minutes, meeting materials, and governance documentation.
• Manage director and committee member orientation, education, elections, compensation programs, and nominee research.
• Support shareholder engagement, proxy advisory meetings, ESG reporting requests, and public policy advocacy initiatives.
• Coordinate internal stakeholders, outside counsel, governance policies, and other projects for the Corporate Secretary.

Requirements

• J.D. from an accredited law school.
• Approximately 5–10 years of professional experience, preferably at a law firm or large company.
• Experience with corporate governance and securities laws.
• Knowledge of SEC and hirify.global rules and regulations governing public companies.
• Excellent verbal and written communication, project management, organizational, and interpersonal skills.
• High integrity, strong attention to detail, accuracy, and ability to maintain strict confidentiality.
