Product Counsel, Meridian (Fintech)

Location: San Francisco, CA or New York City, NY; hybrid attendance required at least 2 days per week

Base salary: $275,000+ annually, plus benefits and equity.

What you will do

• Own legal product counseling across product design, development, launch, scaling, and ongoing maintenance.
• Structure private-market securities products and transactions, including primary offerings, company and fund secondaries, feeder vehicles, buyer aggregation vehicles, and broker-dealer-enabled execution.
• Advise on broker-dealer obligations, FINRA rules, Regulation Best Interest, suitability, private-placement due diligence, communications review, investor eligibility, AML/KYC, licensing, books and records, and supervisory frameworks.
• Analyze securities, investment company, investment adviser, blue sky, tender-offer, and Regulation ATS requirements.
• Develop vehicle documents, product terms, risk and conflicts disclosures, and buyer and seller communications.
• Design scalable legal review and escalation processes, and translate regulatory developments into product requirements while aligning with product, engineering, compliance, operations, business development, and marketing.

Requirements

• JD and active bar membership in good standing.
• 6–10 years of relevant legal experience.
• Experience advising or working within a registered broker-dealer, preferably involving private placements, private securities, alternative investments, or secondary transactions.
• Deep knowledge of the Securities Act, Exchange Act, Regulation D, FINRA rules, broker-dealer regulation, Regulation Best Interest, suitability, offering due diligence, communications review, and supervisory systems.
• Understanding of the Investment Company Act, Investment Advisers Act, private-fund exemptions, transfer mechanics, tender-offer analysis, state blue sky laws, marketplace regulation, or ATS regulation.
• Product counseling experience in fintech, trading or marketplace infrastructure, venture capital, private funds, or another tightly regulated financial product.
