Senior Counsel II / Corporate Counsel, Transactions (Life Sciences)

Salary: $284,800–$365,100 per year for Senior Counsel II roles in Redwood City, CA.

What you will do

• Draft and negotiate business services, licensing and intellectual property, clinical trial, collaboration, and other third-party agreements.
• Review agreements for accuracy, completeness, regulatory compliance, and contractual risk.
• Support corporate due diligence, mergers and acquisitions, asset acquisitions, and complex business transactions.
• Coordinate with in-house and external counsel on transaction documents and deal matters.
• Advise business stakeholders on corporate, licensing, compliance, and contractual matters.
• Manage outside counsel work product and budgets while maintaining current knowledge of legal developments and industry trends.

Requirements

• 6+ years of experience in corporate and licensing transactions in the life sciences; 11+ years applies to Associate Director/Director-level experience.
• Experience with transactions between companies, complex transactional work, asset acquisitions, or mergers and acquisitions.
• Juris Doctorate from an ABA-accredited law school.
• Admission to the California Bar or eligibility to qualify as Registered In-House Counsel.
• Knowledge of corporate law, national and regional regulations, corporate structures, intellectual property concepts, licensing practices, and cross-border transactions.
• Strong attention to detail, independent judgment, reliability under tight deadlines, and excellent written, verbal, and interpersonal communication skills.

• Law firm experience supporting senior attorneys or partners.
