Executive Director, Corporate Securities Counsel (Biotech)

Location: Seattle, Washington, United States; hybrid arrangement with onsite work at the corporate office a minimum of two days per week.

Salary: $297,500–$367,500 per year.

What you will do

• Lead legal workstreams for IPO readiness and potential transition to a publicly traded company.
• Advise on securities laws, capital markets transactions, public financings, and legal risks.
• Coordinate Form S-1 registration statements, prospectus materials, underwriting agreements, and related IPO documentation.
• Oversee SEC reporting and compliance, including Forms 10-K, 10-Q, 8-K, S-8, Section 16 filings, and proxy statements.
• Develop disclosure controls, lead quarterly disclosure committee processes, and review earnings releases and investor communications.
• Advise the Board, executive leadership, and committees on governance, fiduciary duties, Nasdaq requirements, and insider trading compliance.

Requirements

• Juris Doctor degree from an accredited law school.
• Active membership in good standing with at least one U.S. state bar.
• 10+ years of progressively responsible corporate and securities law experience.
• Significant law firm or in-house public company experience, including direct experience leading or substantially supporting one or more IPOs.
• Deep SEC reporting and compliance experience, with experience supporting Nasdaq and/or NYSE-listed companies.
• Experience advising Boards of Directors and executive leadership teams on securities, disclosure, governance, and public company compliance matters.
