TL;DR
Associate General Counsel-IP Due Diligence (Pharmaceutical) (Patent Law/Pharmaceutical Transactions): Leading IP due diligence for M&A, licensing, option, and venture transactions with an accent on patent coverage, freedom-to-operate, validity, enforceability, and competitive landscape analysis. Focus on assessing pharmaceutical and biotechnology portfolios, preparing strategic risk reports, supporting negotiations, and aligning patent prosecution with business objectives.

Location: Hybrid work in North Chicago, IL; Waltham, MA; South San Francisco, CA; or Irvine, CA, with onsite work 3+ days per week.

Salary: $182,000–$346,000 annual base pay, depending on factors including geographic location and experience.

What you will do

  • Lead comprehensive IP due diligence for mergers and acquisitions, licensing, option, and venture transactions.
  • Assess patent coverage, freedom-to-operate, validity, enforceability, litigation exposure, and competitive landscapes.
  • Advise business development, R&D, commercial, scientific, and legal stakeholders on transaction-related IP matters.
  • Prepare and present due diligence reports, risk assessments, competitive intelligence, and strategic recommendations.
  • Support prior-art searches, validity assessments, patent prosecution, and IP strategy across biologics, peptides, small molecules, and device-related inventions.
  • Lead negotiations and coordinate with external counsel and internal teams throughout the deal lifecycle.

Requirements

  • JD from an accredited law school, active state bar admission enabling in-house practice, and registration to practice before the USPTO as a patent attorney.
  • Approximately 8 years of patent-law experience at a law firm and/or life sciences company.
  • Substantial pharmaceutical or biotechnology IP due diligence experience, including simple and complex biologics, peptides, and small-molecule pharmaceuticals.
  • Technical background in pharmaceutical discovery and development or a relevant degree in molecular biology, biotechnology, biochemistry, biology, chemistry, chemical engineering, or biomedical engineering.
  • Strong legal, analytical, communication, collaboration, and people skills, with the ability to manage complex projects and deadlines.

Nice to have

  • Due diligence experience in M&A, licensing, or option transactions within the pharmaceutical or biotechnology sector.
  • Experience with biosimilar or generic pharmaceutical patent portfolios.
  • Experience advising on venture transactions or strategic collaborations involving IP.
