Senior Counsel - Technology & AI

Location: Hybrid office-based role with three days per week on-site in Irving, Texas; Chicago, Illinois; or Centennial, Colorado

Estimated annual salary range: $156,500–$290,100 USD, plus incentive eligibility.

What you will do

• Draft, review, and negotiate SaaS, software licensing, cloud services, professional services, data licensing, data processing, business associate, and information security agreements.
• Advise internal clients and cross-functional Product, Engineering, Technology, Privacy, Information Security, and Compliance teams on technology transactions and product commercialization.
• Counsel the organization on generative AI, agentic AI, AI-enabled products, software development, data usage rights, HIPAA, privacy, cybersecurity, intellectual property, and open-source compliance.
• Review AI-specific contract provisions and monitor emerging AI laws and regulatory developments.
• Develop AI governance policies, contracting standards, risk-management practices, contract templates, negotiation playbooks, guidance materials, and training.
• Identify legal and regulatory risks, recommend mitigation strategies, and collaborate with outside counsel when appropriate.

Requirements

• Juris Doctor degree from an accredited law school.
• Active license to practice law in at least one U.S. jurisdiction.
• Six or more years of relevant experience in technology transactions, intellectual property, commercial contracting, or related legal matters.
• Demonstrated experience negotiating enterprise software, SaaS, cloud, and other technology agreements.
• Strong knowledge of intellectual property, privacy, cybersecurity, HIPAA, and AI-related legal issues.
• Excellent drafting, negotiation, communication, client management, and prioritization skills.

Nice to have

• In-house experience in technology, healthcare technology, software, cloud computing, or AI.
• Experience with GDPR, HIPAA, state privacy laws, and emerging AI regulatory frameworks.
• CIPP and/or AIGP certification.
