Commercial Counsel (Healthcare AI)

Location: Remote; active U.S. bar membership required

Salary: $170,000–$210,000 annual base salary, plus discretionary bonus and benefits

What you will do

• Negotiate and draft MSAs, SaaS agreements, Statements of Work, Business Associate Agreements, Data Processing Agreements, procurement and vendor contracts, partnership agreements, and NDAs.
• Partner with Sales and cross-functional teams to accelerate deal execution while managing legal and regulatory risk.
• Advise on commercial, privacy, product, operational, and healthcare technology matters.
• Develop contract templates, fallback language, clause libraries, and negotiation playbooks.
• Improve contracting and legal operations processes through scalable workflows and legal technology.
• Support procurement, vendor negotiations, outside counsel collaboration, and AI-related commercial initiatives.

Requirements

• J.D. from an accredited law school and active U.S. bar membership.
• 4+ years of legal experience, including law firm and in-house work in health tech or digital health.
• Significant experience with data use, privacy, and security in healthcare or other regulated data environments.
• Deep understanding of HIPAA and state consumer privacy laws, plus knowledge of FDA and CMS regulations.
• Familiarity with FDA guidance on SaMD, clinical decision support, and state CPOM laws.
• Experience advising on products and negotiating complex licensing, payor, hospital system, and client agreements.
