Senior Corporate Counsel - Federal (Government Contracting): Leading legal support for C3 AI’s Federal business across government acquisitions, contract negotiation, administration, and compliance with an accent on FAR/DFARS contracts, OTA agreements, export controls, and security compliance. Focus on structuring complex agreements, advising on bid protests and disputes, and managing legal risks across public-sector software engagements.

Location: Tysons, Virginia, United States. Candidates must be authorized to work in the United States without current or future company sponsorship.

Salary: $252,000–$310,000 USD per year

What you will do

  • Serve as lead attorney and legal advisor for the Federal business across RFP and capture activities, contract negotiation, administration, and compliance.
  • Assess business pursuits, analyze solicitations, and advise on contractual risks and mitigation strategies.
  • Structure, draft, and negotiate prime contracts, subcontracts, OTA agreements, teaming agreements, and NDAs.
  • Advise on intellectual property, product matters, ITAR/EAR export controls, security compliance, ethics, and government contracting regulations.
  • Manage contractual matters with government customers and support claims, disputes, bid protests, and FOIA requests.
  • Assist with Industrial Security and Insider Threat programs in collaboration with the Facility Security Officer.

Requirements

  • Juris Doctor degree from an accredited law school and active membership in at least one U.S. state bar.
  • 8+ years of relevant government contracts experience, ideally combining law firm and in-house work.
  • Subject matter expertise in U.S. Government contracting, including FAR, DFARS, and agency supplements.
  • Experience structuring and negotiating FAR-based contracts, OTA agreements, GSA Schedule procurements, and FFP, Cost-Reimbursement, IDIQ, T&M, and BPA contracts.
  • Significant ITAR/EAR and export compliance experience, plus strong negotiation, drafting, and analytical skills.
  • Active Top Secret U.S. Government security clearance or the ability to obtain and maintain one; U.S. work authorization without sponsorship is required.

  • Substantive knowledge of enterprise software, SaaS, PaaS, software licensing, and channel distribution models.
