Corporate Counsel, Public Sector

Location: McLean, Virginia; full-time, on-site work five days per week at a U.S. office.

What you will do

• Draft, review, and negotiate public sector agreements, including SaaS licenses, MSAs, data processing agreements, teaming agreements, OTAs, professional services agreements, and statements of work.
• Analyze government solicitations, proposals, and procurement materials to identify legal risks and ensure compliance.
• Support federal, state, and local government transactions throughout the proposal, contracting, execution, and post-award stages.
• Advise Sales, Product, Engineering, Security, Finance, Government Affairs, and executive stakeholders on contracting, compliance, data rights, licensing, privacy, and cybersecurity.
• Develop scalable legal templates, contracting playbooks, and operational processes for the growing government business.
• Support contract interpretation, modifications, compliance obligations, dispute resolution, and broader commercial and corporate matters.

Requirements

• J.D. from an accredited law school and active membership in good standing of at least one U.S. state bar.
• Legal experience focused on government contracts or public sector commercial transactions.
• Experience drafting and negotiating technology, SaaS, or software licensing agreements with government customers.
• Familiarity with U.S. government or SLED procurement laws and regulations, including FAR and DFARS.
• Ability to independently manage multiple matters and provide practical, business-minded legal advice.
• Strong drafting, negotiation, and communication skills, with willingness to apply artificial intelligence to legal workstreams.

Nice to have

• 3–8 years of in-house experience at a technology, SaaS, identity, cybersecurity, or government-focused company.
• Experience supporting federal procurement efforts or working with GSA schedules, NASPO, GWACs, IDIQs, BPAs, or OTAs.
• Familiarity with FedRAMP, CMMC, NIST SP 800-171, or related public sector security frameworks.
• Strong business acumen, intellectual curiosity, attention to detail, and a proactive problem-solving approach.
