Corporate Counsel (Semiconductor)

Location: San Jose, Camarillo, or Irvine, California; hybrid with onsite work 4 days per week

Salary: US$175,000–US$230,000 per year

What you will do

• Draft, review, and negotiate NDAs, master supply, licensing, SaaS, vendor, sales, distribution, reseller, and professional services agreements.
• Advise business development, sales, finance, and operations on contract structures, risk allocation, and deal terms.
• Lead negotiations for complex or high-value commercial agreements.
• Maintain contract templates, playbooks, and organizational best practices.
• Manage commercial partner relationships, resolve contractual disputes, and liaise with outside counsel.
• Notarize corporate documents and agreements and support contract training and process improvement.

Requirements

• Juris Doctor degree from an accredited law school.
• Active membership in good standing with the bar.
• 4–8 years of corporate or commercial contract law experience in-house or at a law firm.
• Active California Notary Public commission, or ability to obtain one promptly after hiring.
• Based in or able to work hybrid from San Jose, California, with onsite attendance 4 days per week.
• Strong drafting, negotiation, communication, and independent workload-management skills.

Nice to have

• Experience with semiconductor or technology industry contracts.
• Exposure to corporate governance, SEC filings, or M&A support.
• Experience with contract management software.
• Strong business acumen and ability to balance legal risk with business objectives.
