Legal Counsel - Corporate & Commercial (Fintech)

Location: New York City, United States; hybrid with four days per week in the office

Salary: $170,000–$185,000 per year, plus potential variable compensation.

What you will do

• Draft, review, negotiate, and interpret vendor, technology, commercial, and other business agreements.
• Support corporate transactions throughout the lifecycle, including M&A, securities, and technology transactions.
• Advise business teams on commercial legal issues, strategic decisions, products, initiatives, and lines of business.
• Manage corporate governance matters, including board and shareholder matters and equity plan administration.
• Identify, investigate, and manage business risks while helping resolve and prevent potential disputes.
• Partner with product, engineering, business teams, and outside counsel on regulatory, compliance, and operational matters.

Requirements

• Juris Doctor degree and admission to a state bar.
• At least four years of relevant in-house or law-firm transactional experience.
• Strong commercial negotiation, writing, communication, prioritization, and independent project-management skills.
• Ability to translate legal risk into clear business terms and build scalable legal processes.
• Pragmatic, collaborative, curious, and action-oriented approach to solving complex problems.
• Ability to work from the New York City office four days per week.

Nice to have

• Experience with Ironclad or a similar contract-management tool.
• Experience in retail financial services or representing financial-services clients.
• In-house experience at a startup or high-growth company.
