Senior Counsel, Commercial (AI Infrastructure)

Location: San Jose, California, United States

Base salary: $200,000–$260,000 annually, depending on experience, level, and business need. The role may also be eligible for discretionary bonuses, incentives, and benefits.

What you will do

• Draft, review, and negotiate customer agreements, vendor contracts, strategic partnerships, and technology licensing agreements.
• Partner with sales, procurement, finance, and business operations to structure commercially successful deals while managing legal risk.
• Develop scalable contract playbooks, templates, legal tools, and department infrastructure.
• Improve commercial legal processes, including the use of AI tools and contract management systems.
• Train internal stakeholders on contract processes, risk awareness, and self-service resources.
• Support real estate transactions, M&A diligence, and emerging legal initiatives.

Requirements

• J.D. from an accredited law school and active membership in at least one U.S. state bar; California membership is preferred.
• 8+ years of relevant legal experience in commercial transactions at a law firm and/or in-house legal department.
• Strong commercial contract drafting, review, negotiation, and risk assessment skills.
• Ability to collaborate with stakeholders across sales, procurement, finance, and business operations.
• Pragmatic judgment and the ability to translate complex legal concepts into clear, actionable guidance.
• Ability to work effectively in a fast-paced, high-growth environment.

• Experience in semiconductors, hardware, or AI/cloud infrastructure.
