Associate General Counsel (SaaS)

What you will do

• Advise business leaders across Sales, Product, Engineering, Services, Finance, Human Resources, IT, Procurement, and other functions.
• Draft, review, negotiate, and advise on complex SaaS, software licensing, professional services, vendor, procurement, reseller, channel partner, and data processing agreements.
• Provide counsel on data privacy, intellectual property, employment, compliance, corporate governance, dispute resolution, and other commercial matters.
• Manage complex legal matters and disputes, coordinating external counsel across Europe and other international jurisdictions.
• Support acquisitions, post-acquisition integration, subsidiary management, corporate governance, and other strategic initiatives.
• Improve legal operations, contract management, legal technology, and governance frameworks, including the use of AI-enabled legal solutions.

Requirements

• Qualified solicitor in England & Wales, or qualified in another common law jurisdiction with the ability to practice in the UK, and in good standing.
• Approximately 8–12+ years of post-qualification legal experience, including multinational in-house experience and prior work at a leading law firm.
• Significant experience with complex commercial transactions, preferably in SaaS, enterprise software, or technology.
• Experience advising on cross-border commercial matters across multiple jurisdictions and managing external counsel.
• Strong knowledge of commercial contracting, technology transactions, intellectual property, data privacy, cybersecurity, and corporate governance.
• Ability to manage multiple complex matters and provide practical, risk-based advice to senior business leaders.

• Experience in a private equity-backed, high-growth, or publicly listed global technology company.
• Experience with GDPR, UK data protection law, international privacy regulations, and global compliance frameworks.
• Exposure to mergers and acquisitions, post-acquisition integration, subsidiary management, employment law, and international commercial operations.
• Experience implementing legal operations improvements, contract lifecycle management tools, or legal technology solutions.
• Experience supporting global sales organizations and negotiating enterprise SaaS agreements with multinational customers.
