Commercial Counsel (SaaS)

Location: Must be based in the United States

Salary: $118,400 – $148,000 per year

What you will do

• Draft, review, and negotiate commercial agreements including SaaS subscriptions, MSAs, SOWs, and NDAs.
• Serve as the primary legal point of contact for the Sales team to structure terms and manage deal risk.
• Partner with Deal Desk, Revenue Operations, and Finance on pricing and revenue-sensitive terms.
• Advise on data privacy and security terms within customer agreements.
• Refine contract templates, playbooks, and negotiation strategies to improve consistency and turnaround time.
• Implement and scale contracting processes, including the use of AI-assisted drafting tools.

Requirements

• 4+ years of experience negotiating commercial agreements, specifically in SaaS or technology transactions.
• JD from an accredited law school and active membership in at least one U.S. state Bar.
• Working knowledge of core SaaS commercial concepts and data privacy frameworks.
• Strong business judgment and ability to make risk-adjusted decisions under pressure.
• Excellent communication skills for translating legal concepts to non-legal stakeholders.
• Experience with AI-assisted contracting tools.
