Commercial Counsel - Contract (Healthcare AI)

Location: Remote; active U.S. bar membership and knowledge of U.S. healthcare laws are required.

Hourly rate: $82–$100.

What you will do

• Own the drafting and negotiation of MSAs, SaaS agreements, Statements of Work, BAAs, DPAs, procurement agreements, vendor contracts, partnership agreements, amendments, and NDAs.
• Partner with Sales and business leaders to accelerate deals while managing legal and regulatory risk.
• Provide day-to-day advice on commercial, privacy, product, operational, and healthcare technology matters.
• Develop contract templates, fallback language, clause libraries, and negotiation playbooks.
• Improve contracting processes and legal operations, including the use of AI and legal technology.
• Coordinate with Product, Engineering, Security, Operations, Procurement, Finance, People, and outside counsel.

Requirements

• J.D. from an accredited law school with active U.S. bar membership.
• 4+ years of legal experience combining law firm and in-house work in health tech or digital health.
• Significant experience with data use, privacy, security, HIPAA, and state consumer privacy laws in healthcare or other regulated data environments.
• Knowledge of state and federal laws affecting the business, including FDA and CMS requirements, FDA guidance on SaMD and clinical decision support, and state CPOM laws.
• Experience with product counseling, emerging technologies, and complex licensing, payor, hospital system, and client agreements.
• Strong communication, analytical, problem-solving, strategic thinking, and proactive risk-management skills.
