Legal Counsel (Web3)

Location: Fully remote and/or hybrid, at the candidate’s discretion

hirify.global is building a sovereign execution layer for AI and a blockchain designed for AI-native applications, including Infernet for accessing AI models through on-chain smart contracts and off-chain systems.

What you will do

• Build the legal function from the ground up, including policies, processes, templates, and contract-management workflows.
• Advise the executive team and board on legal, regulatory, and business matters.
• Manage corporate governance, including board resolutions, minutes, shareholder agreements, and equity administration.
• Draft, review, and negotiate commercial, vendor, partnership, employment, and investor agreements.
• Develop compliance programs covering GDPR, AML, OFAC, data privacy, employment law, and intellectual property.
• Identify legal and regulatory risks, support fundraising, and manage disputes, litigation, and external counsel.

Requirements

• J.D. from an accredited law school and active membership in at least one U.S. state bar.
• 3+ years of relevant legal experience at a top-tier law firm and/or as in-house counsel.
• Experience with early-stage or high-growth companies, particularly in Web3 or AI.
• Strong expertise in corporate governance, contract law, regulatory compliance, and risk management.
• Familiarity working with Web3 teams and the ability to work independently in a fast-paced environment.
• Exceptional written and verbal communication skills and strong business acumen.
