Corporate Counsel Lead

Location: Hybrid in New York or San Francisco, United States

Salary: $260,000–$470,000 per year, plus equity

What you will do

• Build and lead the legal function across commercial, corporate, employment, and regulatory matters.
• Draft and negotiate complex enterprise customer and partner agreements.
• Establish practical governance structures, policies, compliance frameworks, and risk management processes.
• Support corporate structuring, financing, investor matters, and intercompany agreements with OpenAI.
• Lead legal diligence and integration for M&A transactions.
• Manage global outside counsel and advise executives on legal risk and strategic decisions.

Requirements

• 12–15+ years of legal experience in technology, professional services, or corporate environments.
• Strong experience in commercial contracting and corporate governance.
• Experience supporting high-growth or PE-backed companies.
• Comfort operating as the first legal leader in a new organization.
• Ability to balance pragmatic risk management with business enablement and handle detailed drafting, negotiation, documentation, and process work.
