Location: Remote or hybrid in New York or Berlin. Ability to work multiple days a week in the NYC hub is preferred.

What you will do

• Serve as the primary in-house point of contact for commercial, corporate, and operational legal matters.
• Lead legal strategy for M&A, investments, joint ventures, and other strategic corporate initiatives.
• Draft and negotiate complex commercial agreements with institutional finance and technology partners.
• Oversee corporate governance, entity structuring, and global regulatory filings.
• Collaborate with finance, product, and business development teams on equity and token administration.
• Hire and develop a growing legal team as the company scales.

Requirements

• J.D. from an accredited, top-tier law school.
• Member in good standing of a U.S. state bar (preferably NY).
• 7+ years of relevant legal experience, including foundational training at a top-tier law firm.
• Proven track record of independently leading complex commercial and corporate transactions.
• Strong interest in crypto, blockchain, and DeFi technologies.

Nice to have

• In-house experience at a high-growth fintech or Web3 company.
• Experience with investment documents like SAFEs and token warrants.
• Familiarity with legal issues specific to decentralized protocol organizational structures.
• Background in regulated financial services and digital asset regulation.
