TL;DR
Senior Counsel (Web3): Leading commercial contracting, corporate governance, fundraising, and strategic transactions for modular stablecoin infrastructure with an accent on M&A, investments, joint ventures, and tailored agreements for institutional finance, digital assets, and technology counterparties. Focus on structuring complex deals, managing global corporate records and filings, and advising on IP, data protection, regulatory, equity, and token administration matters.
Location: New York, NY or remote within the United States; ability to work multiple days per week from the NYC hub is a plus. Hub options are available in New York City and Berlin.

What you will do
- Manage day-to-day commercial, corporate, and operational legal matters as the in-house legal point of contact.
- Lead M&A, investments, joint ventures, and other strategic transactions from diligence through closing.
- Draft and negotiate tailored agreements with counterparties in institutional finance, digital assets, and technology.
- Advise on IP, data protection, regulatory, equity, and token administration matters.
- Oversee corporate structuring, records, governance materials, and filings for entities globally.
- Collaborate with finance, operations, product, and business development while helping build and develop the legal team.
Requirements
- J.D. from an accredited top-tier law school.
- Member in good standing of a U.S. state bar, preferably New York.
- 7+ years of relevant legal experience, including corporate or transactional training at a top-tier law firm.
- Experience independently leading complex commercial and corporate transactions in technology, payments, or finance.
- Strong understanding of corporate and securities law, sound judgment, analytical rigor, and practical business judgment.
- Excellent communication, collaboration, attention to detail, and legal process management skills.
Nice to have
- In-house experience at a high-growth technology company, particularly in fintech or Web3.
- EC/VC experience with investment documents such as SAFEs and token warrants.
- Crypto-native familiarity, including legal structures for decentralized protocols and DeFi.
- Financial services experience and knowledge of digital asset regulation.
- Experience with collateral agreements, perfection, and bankruptcy rules.
