Contract Analyst

Location: Remote within the United States; option to work from office locations if desired. Travel: less than 5% within the US.

What you will do

• Review and draft customer contracts, strategic partnership and vendor agreements, Business Associate Agreements, and non-disclosure agreements.
• Analyze incoming contracts, identify legal and operational risks, prepare redlines, and develop practical fallback options.
• Manage contract intake, repositories, contract stages, and workflows using Contract Lifecycle Management systems.
• Partner with Sales, Customer Success, Product, and Business Development to translate business needs into clear contract terms.
• Lead legal process improvement initiatives and, if qualified and interested, support entity management, corporate maintenance, subsidiary filings, and routine corporate or tax administration.

Requirements

• 8+ years of dedicated commercial contracting experience with expertise in contract analysis, drafting, and detailed redlining.
• Hands-on experience with digital Contract Lifecycle Management systems and contract repositories.
• Excellent written communication, drafting, analytical, organizational, and time-management skills.
• Ability to identify risk allocation issues, operational problems, and inconsistencies in third-party contracts.
• Ability to balance legal risk with commercial needs and provide practical guidance to internal stakeholders.
• Collaborative, hardworking, detail-oriented, and continuous-learning approach.

Nice to have

• Experience with SaaS, technology licensing, healthcare IT, healthcare, or life sciences contracts.
• Experience with multiple contract management tools and electronic signature platforms.
• Familiarity with HIPAA, Business Associate Agreements, data privacy standards, and intellectual property or data rights clauses.
• Paralegal experience relevant to entity management and corporate administration.
