Vendor Management Counsel (AI)

Location: Palo Alto, with hybrid or 100% remote work available; other U.S. locations may be considered

Salary: $163,200–$220,800 per year in Palo Alto, New York, and San Francisco; $147,050–$198,950 per year in other listed locations. A discretionary year-end merit bonus may also be available.

What you will do

• Serve as the primary lawyer for vendor and supplier contracts across business functions.
• Draft, review, and negotiate technology licenses, SaaS and cloud agreements, professional services agreements, statements of work, and procurement contracts.
• Lead contracting for generative AI platforms, AI-assisted legal tools, data processing, and third-party model access.
• Advise on AI data rights, acceptable use, confidentiality, output ownership, intellectual property, indemnification, and liability.
• Partner with Finance, IT, Information Security, and other stakeholders to identify risks and align contract terms with internal policies.
• Maintain templates, playbooks, clause guidance, and contract management processes while monitoring AI, privacy, and technology regulation.

Requirements

• J.D. from an ABA-accredited law school and active bar admission in good standing in at least one U.S. jurisdiction.
• At least 3 years of experience drafting and negotiating commercial contracts, including technology agreements.
• Strong drafting, negotiation, and business-partnering skills.
• Familiarity with generative AI contracting concepts, including data rights, acceptable use, confidentiality, indemnification, and IP ownership.
• Ability to manage a high volume of matters with competing deadlines and communicate legal risk clearly.

Nice to have

• Experience in an in-house legal department, technology transactions practice, or legal managed services organization.
• Experience with enterprise procurement, vendor management, and contract lifecycle management systems.
• Knowledge of ISO, NIST, GDPR, CCPA/CPRA, the EU AI Act, or U.S. state AI legislation.
• Experience using AI tools to work more efficiently.
