Corporate Attorney (Cybersecurity)

Location: Based in or near Boston, Massachusetts, USA, with a hybrid work schedule.

What you will do

• Draft, review, and negotiate customer, vendor, partner, MSA, DPA, and NDA agreements.
• Partner with Sales on enterprise transactions while balancing legal risk and deal velocity.
• Support corporate governance, board materials, equity administration, fundraising, M&A, and other strategic transactions.
• Advise on privacy, data protection, employment, compliance, and cybersecurity incident response matters.
• Support SOC 2, ISO 27001, and other security certifications from a legal and contractual perspective.
• Build contract templates, playbooks, and scalable legal processes while managing outside counsel and legal spend.

Requirements

• J.D. and an active license to practice law in the United States.
• Massachusetts bar admission or the ability to obtain it is preferred.
• 5+ years of relevant legal experience, including in-house SaaS or technology experience and/or law firm experience supporting similar clients.
• Strong commercial contracting, drafting, negotiation, privacy, and data protection experience, including knowledge of GDPR and CCPA.
• Ability to manage a high-volume workload autonomously and communicate legal risk clearly to non-lawyers.
• Must be based in or near Boston, Massachusetts, and able to work a hybrid schedule.

Nice to have

• Experience with SOC 2, ISO 27001, cybersecurity incident response, or breach notification requirements.
• Experience supporting fundraising, board governance, and cap table matters at a venture-backed startup.
• Experience negotiating enterprise software agreements with regulated-industry customers.
• Familiarity with export controls and other regulatory considerations for security software.
• Experience as an early in-house attorney building legal processes from scratch.
