Director Legal Counsel, Commercial Transactions (Fintech)

Location: Hybrid position in Westlake, Texas, United States

Salary: USD $180,000–$225,000 per year, plus bonus or incentive opportunities

What you will do

• Lead commercial agreement negotiations from intake through execution in coordination with Vendor Management, risk teams, and business stakeholders.
• Draft, revise, and negotiate agreements covering technology procurement, AI, software licensing, SaaS, IaaS, PaaS, professional services, data, content, marketing, and sponsorships.
• Advise senior leaders on transactional risk, business objectives, strategic alternatives, and contractual tradeoffs.
• Align agreements with firm policies, regulatory standards, control requirements, and risk appetite.
• Design and implement contracting workflows, negotiation playbooks, clause libraries, escalation standards, metrics, and workload-balancing models.
• Identify opportunities for GenAI and automation, supporting responsible adoption and change management across legal operations.

Requirements

• Juris Doctor degree and active bar admission in at least one U.S. state.
• 7+ years of legal experience, including 3+ years of in-house experience.
• Extensive experience negotiating complex commercial agreements and understanding the legal and regulatory frameworks for commercial contracting.
• Ability to balance risk and business objectives, own complex workstreams, and drive transactions to completion.
• Strong executive communication skills and ability to explain legal risk clearly and persuasively.

• Experience with technology sourcing transactions and licensing.
• Program management experience delivering legal transformation or contracting optimization initiatives.
• Experience with legal operations improvements, change management, and responsible adoption of AI-enabled tools.
