General Counsel (Semiconductor)

Location: On-site five days a week in NW Austin, Austin, Texas, United States

What you will do

• Build and own the enterprise legal strategy, governance frameworks, and legal department for a post-IPO semiconductor company.
• Advise the CEO, executive team, and Board on corporate governance, risk, compliance, and strategic business decisions.
• Draft, review, and negotiate complex commercial, technology licensing, supplier, customer, investor, joint venture, and partnership agreements.
• Protect and optimize the global IP portfolio, including patents, trade secrets, trademarks, licensing, and infringement risk.
• Oversee compliance with export controls, trade sanctions, data privacy, immigration, labor, securities, and foreign investment regulations.
• Lead legal due diligence, M&A, equity financings, strategic investments, litigation strategy, and outside counsel management.

Requirements

• Juris Doctor from an accredited U.S. law school and an active bar license in good standing.
• 12+ years of legal experience, including significant in-house leadership at a semiconductor or high-tech company.
• Expertise in corporate governance, complex commercial agreements, global IP protection, and regulatory compliance.
• Deep knowledge of semiconductor legal matters, including ITAR/EAR export controls, CFIUS, supply-chain risk, and technology licensing.
• Experience leading M&A, equity financings, cross-border partnerships, employment law, executive compensation, and global workforce matters.
• Proven ability to build legal teams, create processes, manage outside counsel, and scale a legal function in a fast-growth environment.

Nice to have

• Experience supporting a post-IPO transition, including SEC reporting, public-company governance, and Reg FD compliance.
• Semiconductor IP strategy experience, including patent portfolio management, design-around analysis, and licensing structures.
• Experience managing legal matters across Asia-Pacific, Europe, and North America.
• Experience advising on AI, edge computing, or IoT regulations.
• Background in government affairs or semiconductor industry standards bodies.
