Corporate Counsel (M&A)

What you will do

• Lead legal workstreams for acquisitions from letters of intent and due diligence through transaction documentation, negotiation, and execution.
• Assist the General Counsel with equity and debt finance matters.
• Draft, review, and negotiate commercial and corporate agreements covering warehousing, marketing, IT, licensing, services, supply, confidentiality, collaboration, research, and data.
• Provide legal and compliance advice aligned with business objectives across the organization.
• Collaborate with outside counsel on intellectual property and data privacy matters and manage action plans.
• Develop contract templates, policies, and processes; implement them on technology platforms and train business partners.

Requirements

• Qualified solicitor in England & Wales or another common law jurisdiction.
• At least 2 years of experience as legal counsel, including M&A processes and drafting and negotiating M&A and commercial documents.
• Strong research, writing, communication, counseling, judgment, and client relationship skills.
• Experience implementing contract management systems, managing templates, and training business partners on contract policy.
• Ability to work independently, collaborate across the organization, and manage simultaneous deadlines.
• Experience with employment law is beneficial.
