General Counsel (Fintech)

Tech-enabled acquiror of small and medium-sized businesses that provides a permanent home for retiring owners, integrates acquired companies into its platform, and enables employees to earn company stock. The business operates subsidiaries across more than 40 industries and 30 states with consolidated revenue of $490 million.

What you will do

• Own SEC reporting obligations, including 10-K, 10-Q, 8-K, and proxy statement preparation and review.
• Lead Sarbanes-Oxley compliance, insider trading policy enforcement, Regulation FD, earnings call procedures, quiet periods, and internal control implementation.
• Manage board governance, committee charters, D&O insurance, director independence determinations, and relationships with independent directors and board committees.
• Build scalable legal infrastructure, including contract management, transaction and financing processes, governance documents, compliance programs, legal operations, and outside counsel management.
• Oversee equity plans, stock options, RSUs, 409A valuations, executive employment agreements, severance arrangements, and equity award documentation.
• Advise on employment law, shareholder demands, regulatory inquiries, litigation, transactions, capital financing, and strategic business decisions.

Requirements

• 10+ years of legal experience, including meaningful experience at a public company or as outside counsel to public companies in an EGC context.
• Deep hands-on experience with SEC reporting, SOX compliance, corporate governance, and public company operations.
• Demonstrated experience building public company legal functions from scratch, including systems, teams, and processes in resource-constrained environments.
• Experience working across multiple industries with adaptable legal judgment and pattern recognition.
• Experience with equity compensation, employment law, and executive agreements.
• Strong commercial judgment and a record of advancing business goals through practical legal advice.
• Outstanding communication skills and executive presence, including the ability to present to boards and engage with independent directors.
• Ability to mentor junior legal talent and business stakeholders.
• J.D. from an accredited law school.

Nice to have

• Transactional experience in M&A, capital markets, or both.
• Experience drafting and negotiating complex commercial agreements and financing documents.
• Intellectual property portfolio management experience.
• Experience with data privacy compliance, including GDPR, CCPA, and applicable state or sector-specific regulations.
• Experience with broad-based employee equity programs.
• Familiarity with state blue sky and securities laws.
