General Counsel

hirify.global is a tech-enabled acquiror of small and medium-sized businesses that integrates acquired companies with a fintech platform and helps employees earn company stock.

What you will do

• Advise the board, executive team, independent directors, and board committees as the primary legal liaison.
• Own SEC reporting obligations, including 10-K, 10-Q, 8-K, and proxy statement preparation and review.
• Lead Sarbanes-Oxley compliance, insider trading policies, Regulation FD, internal controls, and public-company governance.
• Build scalable legal infrastructure, including contract management, transaction processes, compliance programs, legal operations, and outside counsel management.
• Manage equity plans, stock options, RSUs, 409A valuations, executive agreements, severance arrangements, and employment law matters.
• Provide strategic legal counsel during shareholder demands, regulatory inquiries, litigation, and transactions.

Requirements

• 10+ years of legal experience, including meaningful experience at a public company or advising public companies in an EGC context.
• Hands-on expertise in SEC reporting, SOX compliance, corporate governance, and public-company operations.
• Experience building legal functions, teams, systems, and processes in resource-constrained environments.
• Strong knowledge of equity compensation, employment law, executive agreements, and commercial legal matters.
• Excellent communication and executive presence, with experience presenting to boards and working with independent directors.
• J.D. from an accredited law school.

• Transactional experience in M&A, capital markets, or both.
• Experience negotiating complex commercial agreements and financing documents.
• Intellectual property portfolio management experience.
• Experience with GDPR, CCPA, state securities laws, and broad-based employee equity programs.
