Associate General Counsel, Strategic Transactions (AI Infrastructure)

Location: Onsite at the corporate headquarters in the Brickell area of Miami, Florida

What you will do

• Lead legal support for mergers, acquisitions, divestitures, joint ventures, strategic partnerships, minority investments, and other strategic transactions.
• Oversee transaction execution from structuring and diligence through negotiation, documentation, financing coordination, closing, and integration.
• Support acquisition financings, project financings, debt facilities, covenant matters, and related diligence.
• Partner with Finance, Treasury, Tax, Development, Investor Relations, executive leadership, and other business teams.
• Draft and negotiate complex commercial and transaction-related agreements.
• Manage outside counsel and advise the Chief Legal Officer and senior leadership on transaction strategy, risk, and execution.

Requirements

• Significant experience leading complex M&A transactions, joint ventures, strategic investments, and other high-value corporate transactions from structuring through closing.
• Experience with acquisition financings, structured debt arrangements, project financings, capital markets, or infrastructure-related transactions.
• Ability to navigate complex commercial, regulatory, and structural issues and develop practical business-oriented solutions.
• Experience coordinating legal, finance, tax, treasury, development, and executive stakeholders under demanding timelines.
• Ability to operate independently, manage multiple high-priority matters, and exercise sound judgment in a dynamic environment.
