Principal Counsel, Corporate (AI)

Location: San Francisco, United States

Salary: $250,000–$350,000 annually plus equity. USD salary ranges apply only to U.S.-based positions; international salaries are set according to the local market.

What you will do

• Lead corporate governance for the company and its subsidiaries, including board and committee materials, resolutions, organizational documents, policies, and corporate records.
• Structure, draft, and negotiate equity and debt financings from term sheet through closing, including preferred stock, credit facilities, and convertible instruments.
• Own secondary transactions and liquidity programs, including tender offers, repurchases, direct secondaries, transfer approvals, and stockholder communications.
• Partner with Finance, Accounting, Tax, and People on equity compensation and cap-table administration, including options, RSUs, 409A valuations, and Carta administration.
• Support M&A, acquihires, strategic investments, diligence, definitive agreements, closings, post-closing integration, and outside counsel management.
• Build scalable legal infrastructure for approvals, entity management, domestic and international expansion, audit support, and future financing or public-company readiness.

Requirements

• JD and good standing with an active U.S. state bar membership, or eligibility to register as in-house counsel in California.
• At least 9 years of law firm and/or in-house experience.
• Experience leading venture or growth equity financings, secondary transactions, and corporate governance for high-growth private technology companies.
• Deep knowledge of cap-table mechanics, equity compensation administration, charters, and stockholder agreements.
• Strong business acumen and ability to partner with finance, accounting, people, executives, and technical stakeholders.
• Ability to work independently in a fast-paced environment with strong judgment, precision, integrity, and collaboration.
