Senior Counsel, Corporate Securities & Governance

Location: San Jose, California, United States

Base salary: $200,000–$260,000 per year, depending on experience, level, and business need. The role may also be eligible for discretionary bonuses, incentives, and benefits.

What you will do

• Advise on federal and state securities laws, SEC requirements, Nasdaq compliance, Regulation FD, and insider trading matters.
• Prepare and review SEC filings, including Forms 10-K, 10-Q, 8-K, SD, S-3, S-8, and Section 16 filings.
• Support the board of directors and its committees by preparing meeting materials, minutes, consents, governance guidelines, charters, and related documents.
• Advise on investor relations materials, earnings releases, external communications, stockholder engagement, and annual meeting logistics.
• Support executive compensation matters, equity award agreements, and employee compensation benefit programs.
• Collaborate with finance, accounting, tax, internal audit, compensation, benefits, and other functions while improving legal compliance workflows.

Requirements

• J.D. from an accredited law school and active membership in at least one U.S. state bar; California admission is preferred.
• 8+ years of experience in a law firm and corporate in-house legal department.
• Hands-on experience drafting and filing SEC Forms 10-K, 10-Q, 8-K, 3, 4, 5, and SD.
• Experience supporting a public company Corporate Secretary's office, board of directors, and board committees.
• Strong business judgment, leadership, communication, organizational, and project management skills.
• Ability to work independently, manage multiple time-sensitive workstreams, and collaborate with non-legal teams.
