Capital Markets & Corporate Governance VP

Location: Remote or hybrid in the United States, with the option to work from the New York City office. Remote hiring is available in New York, New Jersey, Connecticut, Pennsylvania, Massachusetts, North Carolina, Georgia, Florida, Missouri, New Hampshire, Kentucky, Texas, Illinois, California, Colorado, Utah, and Washington.

Annual base salary: $256,128–$300,000 in New York, California, Colorado, Massachusetts, and Washington; ranges may vary by location. Additional annual bonus or sales incentive plan and performance-based stock options may apply.

What you will do

• Develop and execute legal strategy for equity offerings, debt issuances, private placements, and IPO readiness.
• Oversee SEC registration statements, prospectuses, and periodic reports, including Forms S-1, 10-K, 10-Q, and 8-K.
• Design corporate governance frameworks, board and committee materials, shareholder relations processes, and compliance protocols.
• Advise the Chief Legal Officer, CEO, CFO, executive team, and Board on financing structures, regulatory risks, and strategic initiatives.
• Manage external law firms and underwriters’ counsel while overseeing execution, accountability, and legal spend.
• Implement controls for insider trading, investor communications, public disclosures, and stock exchange compliance.

Requirements

• Juris Doctor degree from an accredited law school and an active U.S. law license in good standing.
• 12+ years of high-level corporate finance and securities law experience across a major law firm and an in-house public company or public-readiness technology environment.
• Experience guiding high-growth companies through an IPO, follow-on equity offerings, or sophisticated debt issuances.
• Expertise in SEC rules, corporate disclosure requirements, U.S. GAAP reporting interactions, and corporate governance.
• Ability to provide clear strategic advice to Board members and C-level executives and manage multi-million-dollar legal transactions autonomously.
• Applicants must be located in an eligible U.S. state for remote work or work from the New York City office.
