TL;DR
Government Contracts Attorney (Aerospace) (FAR/DFARS, SBIR/STTR): Building and scaling government-contracts infrastructure for aerospace and autonomous-aircraft propulsion programs with an accent on DoD contracting, data rights, compliance, and prime/subcontractor agreements. Focus on negotiating contracts and OTAs, developing flowdown and obligation matrices, and translating complex FAR/DFARS requirements into practical guidance.

Location: Nashville or Crossville, Tennessee, or remote within the United States. Relocation assistance is available for eligible candidates.

What you will do

  • Advise leadership and cross-functional teams on federal contracting opportunities, risks, obligations, and negotiation strategy.
  • Draft, review, and negotiate prime contracts, subcontracts, teaming agreements, NDAs, supplier agreements, and related documents.
  • Provide practical guidance on FAR, DFARS, DoD contracting, and SBIR/STTR Phase I, II, and III requirements.
  • Advise on government data rights, technical data and software markings, restrictive markings, and protection of pre-existing and contract-generated IP.
  • Build contract obligation, compliance, and flowdown matrices and establish scalable contract administration processes.
  • Support OTA agreements and emerging government procurement structures while partnering with engineering, finance, security, operations, and program teams.

Requirements

  • J.D. from an accredited law school and active bar membership.
  • 5+ years of government contracts experience, ideally in-house, aerospace, defense, or government contracting.
  • Extensive knowledge of FAR and DFARS, including meaningful DoD government-contract experience.
  • Experience with SBIR/STTR programs, government contract compliance, and contract administration.
  • Experience drafting and negotiating government contracts, subcontracts, teaming agreements, and related agreements.
  • Strong understanding of government data-rights issues and ability to translate complex requirements into practical guidance.

Nice to have

  • Experience negotiating and structuring Other Transaction Authority agreements.
  • Experience with technical-data and software marking requirements, prime and subcontractor relationships, and FAR/DFARS flowdown matrices.
  • Experience with SBIR/STTR Phase III contracting.
  • Startup experience, especially in hardware or deeptech, and a passion for aviation.
