Legal Counsel, Subcontracts & Supply Chain

Location: Hybrid in Los Angeles, CA or Washington, DC; U.S. export-control compliance applies.

What you will do

• Draft, review, and negotiate vendor, supplier, subcontract, SOW, purchase order, MSA, NDA, and related commercial agreements.
• Connect prime-contract obligations to subcontract requirements, including flowdowns, certifications, and risk terms.
• Map and manage FAR, DFARS, and OTA flowdowns across the supply base.
• Partner with subcontracts, supply chain, program management, engineering, finance, and trade compliance teams to accelerate deals.
• Build playbooks, templates, fallback positions, self-service tools, and scalable legal processes.
• Analyze business risks, support supplier dispute resolution, and maintain company representations and certifications.

Requirements

• Juris Doctor (JD) from an accredited law school.
• Active membership in good standing with at least one U.S. state bar.
• 5+ years of transactional experience in subcontracts, procurement, supply chain, or government contracts.
• Hands-on experience with FAR/DFARS flowdowns, certifications, and government-contracting compliance.
• Strong drafting, negotiation, communication, and high-volume contract-management skills.
• Must qualify as a U.S. person or otherwise be eligible for deemed export licensing under U.S. export-control requirements.
