TL;DR
Commercial Counsel - Supply Chain Sourcing (Renewable Energy): Drafting and negotiating global direct-material supplier contracts for solar power infrastructure with an accent on delivery, quality, logistics, warranties, and risk allocation. Focus on managing supplier claims, aligning customer and supplier agreements, and building contract templates, playbooks, and compliance guidance.

Location: Fremont, California, USA; hybrid arrangement with 4 days per week in the office.

Annual salary: $175,000–$200,000, plus potential bonus and equity.

Develops integrated solar power technology combining tracker, electrical, digital, yield-management, and control solutions for utility-scale and distributed-generation projects.

What you will do

  • Draft, review, structure, and negotiate global direct-material supplier contracts, including NDAs, supply agreements, purchase-order terms, amendments, and change orders.
  • Address operational contract terms covering delivery schedules, change control, quality, packaging, logistics, Incoterms, title and risk of loss, warranties, and liquidated damages.
  • Manage supplier disputes and claims involving late deliveries, shortages, nonconformances, serial defects, field failures, and pass-through costs.
  • Coordinate contract lifecycle processes, approvals, documentation standards, and alignment between customer-facing and supplier-facing agreements.
  • Partner with Sourcing, Operations, Quality, Logistics, Project Management, and Legal to identify risks and approve non-standard terms.
  • Develop templates, fallback positions, clause libraries, playbooks, guidance notes, and training for supply chain contracting.

Requirements

  • J.D. from an accredited law school.
  • 6+ years of relevant legal experience from law firm, in-house, or combined practice.
  • Strong experience drafting, reviewing, and negotiating commercial contracts.
  • Experience with supply chain, procurement, manufacturing, logistics, hardware, technology, energy, infrastructure, or other operationally complex agreements.
  • Ability to communicate legal, commercial, and operational risks and provide practical, solution-oriented advice.
  • Strong organization, attention to detail, and ability to manage multiple priorities in a global environment.

Nice to have

  • Experience with direct-material sourcing, supplier contracts, renewable energy, solar, battery storage, hardware, semiconductor, automotive, aerospace, or industrial supply chains.
  • In-house experience supporting procurement, sourcing, operations, or supply chain teams.
  • Experience with global supply agreements, quality agreements, logistics terms, Incoterms, warranties, liquidated damages, supplier disputes, and contract management systems.
