Commercial Counsel (Technology)

What you will do

• Lead the drafting, negotiation, execution, implementation, and post-closing support of complex domestic and international commercial transactions.
• Negotiate customer, supplier, manufacturing, OEM, EMS, procurement, sourcing, development, distribution, reseller, services, and other commercial agreements.
• Advise on forecasting, supply commitments, pricing, allocation, manufacturing capacity, warranties, indemnification, limitation of liability, intellectual property, and dispute resolution.
• Partner with Sales, Global Supply Chain, Procurement, Operations, Finance, Product Management, Engineering, and executive leadership.
• Provide practical legal guidance that balances legal risk with commercial objectives and supports business growth.
• Improve contract templates, negotiation playbooks, knowledge management, AI-enabled legal workflows, and scalable legal processes.

Requirements

• J.D. from an accredited law school and active membership in at least one U.S. state bar.
• 5–8 years of relevant legal experience, including experience at a nationally recognized law firm. In-house experience with a technology, semiconductor, manufacturing, or industrial company is preferred within this qualification.
• Significant experience independently negotiating sophisticated commercial transactions.
• Ability to advise senior business leaders and influence business decisions through practical legal counsel.
• Strong understanding of commercial contracting principles.
• Exceptional drafting, negotiation, analytical, and communication skills.
• Ability to manage multiple complex transactions simultaneously while maintaining excellent client service.
• Strong business acumen and ability to translate legal concepts into practical business advice.

Nice to have

• Experience supporting semiconductor, electronics, manufacturing, networking, telecommunications, or other advanced technology businesses.
• Experience negotiating long-term supply, manufacturing, procurement, or strategic sourcing agreements.
• Familiarity with international commercial transactions and cross-border contracting.
• Experience improving legal operations through automation, AI tools, contract lifecycle management systems, or process optimization.
