General Counsel (Thermo King Americas)

Location: Minneapolis, Minnesota; onsite Monday through Thursday, with flexible location on Fridays. Travel up to 25%.

Annual base salary: $198,993.33–$302,400.00, plus incentive eligibility.

What you will do

• Serve as the lead legal partner for the Thermo King Americas business and advise leadership on strategic and day-to-day matters.
• Draft, review, and negotiate complex commercial agreements for equipment sales, distribution, dealerships, and franchises.
• Advise on regulatory, product, warranty, marketing, communications, data collection, and antitrust matters.
• Support litigation teams with claims and disputes involving the business unit, customers, suppliers, and commercial agreements.
• Support mergers, acquisitions, due diligence, negotiations, integration planning, and post-closing risk management.
• Lead legal department goals, budgets, standards, processes, metrics, templates, and risk mitigation programs.

Requirements

• J.D. degree from an accredited US law school.
• Member in good standing of a State Bar Association.
• 15+ years of attorney experience, including at least 10 years as in-house counsel.
• Strong corporate transactional background with complex commercial agreement experience.
• Strong experience in distribution and antitrust law, business law, legal judgment, negotiation, and risk management.
• Ability to work independently, manage competing priorities, influence business partners, and lead relationships with outside counsel and consultants.
