Corporate Paralegal (AI)

What you will do

• Own the review calendar and status tracking for active agreements, amendments, consents, and closing documents.
• Coordinate reviewers, executives, and outside counsel to keep redlines moving against transaction deadlines.
• Manage document versions, comparisons, clean copies, redlines, signature packets, e-signature workflows, and executed-document filing.
• Build and maintain closing checklists for commercial, financing, and real estate transactions, including conditions precedent and post-closing deliverables.
• Maintain corporate entity records, minute books, board consents, organizational documents, data rooms, and diligence materials.
• Support contract lifecycle management, process improvement, and legal technology implementation projects.

Requirements

• 3 or more years of paralegal experience in a corporate or transactional practice.
• Experience managing document workflows across multiple simultaneous transactions; high-volume deal experience is strongly preferred.
• Advanced Microsoft Word skills, including tracked changes, document comparison, and version management.
• Experience with e-signature platforms and data room providers.
• Exceptional follow-through, deadline management, communication, discretion, and professionalism with senior stakeholders.
• Authorization to work in the United States is required.

Nice to have

• Paralegal certificate or bachelor's degree.
• Experience with venture financings, debt transactions, data center deals, or real estate transactions.
• Familiarity with contract lifecycle management tools and legal operations workflows.
• Notary public commission in Nevada or willingness to obtain one.
